The following describes the terms and conditions upon which IndexMundi.com

Scope of the Agreement
By using IndexMundi.com (including related sites, services and tools),
you agree to the following terms and conditions. This Agreement is entered
into between you (the "User")
and IndexMundi.com (the “Site”).
For purposes of this Agreement, a User is any person who accesses the Site for whatever
purpose, regardless of whether said User has registered on the Site as a subscription
User or whether said User is a paying customer for a specific service provided by
Indexmundi.com or any of its related web sites. A User includes the person using
this Site and any legal entity which may be represented by such person under actual
or apparent authority.
By accessing or using the Site, you hereby agree to accept the terms
and conditions set forth in this Agreement as a User. You shall be bound by the
terms and conditions of this Agreement with respect to your access or use of this
Site and any further upgrade, modification, addition or change to this Site. You
must accept all the terms and conditions of this Agreement before using this site.
IndedMundi.com reserves the right, without prior notice, to amend this
Agreement at any time by posting the amended Agreement on the Site. The amended
Agreement shall be effective immediately upon being posted on the site. Posting
of the amended and restated Agreement and your continued use of the Site shall be
deemed to be acceptance of the amended terms. This Agreement may not otherwise be
modified, except in writing by an authorized officer of IndexMundi.com.
User Guidelines
While using IndexMundi.com sites, services and tools, you will not:
post content or commodities information in an inappropriate category or areas of the Site;
violate any laws, third party rights or our any of our Listing Policies;
use the Site, its services or tools if you are not able to enter legally
binding contracts, you are under the age of 18, or you are temporarily or
indefinitely suspended from using the Site, its services or tools;
post false, inaccurate, misleading, defamatory, or libelous
content (including personal information);
transfer your IndexMundi.com account and User ID to another party without our consent;
distribute or post spam, unsolicited, or bulk electronic
communications, chain letters, or pyramid schemes;
distribute viruses or any other technologies that may harm the Site,
or the interests or property of its users;
copy, modify or distribute rights or content from the IndexMundi.com Site, its services
or tools or IndexMundi.com’s copyrights and trademarks;
harvest or otherwise collect any information about users, including email addresses, without their prior consent.
Users may use this Site solely for their own personal purposes. Each
User agrees that it shall not copy, reproduce or download any information, text,
images, video clips, directories, files, databases or listings available on or through
the Site for the purpose of re-selling, re-distributing or re-publishing its content
for mass mailing (via emails, wireless text messages, physical mail or otherwise),
operating a business that competes with IndexMundi.com, or otherwise commercially
exploiting the Site content. Systematic retrieval of content from this Site
to create or compile, directly or indirectly, a collection, compilation, database
or directory (whether through automatic devices or manual processes) without written
permission from IndexMundi.com is prohibited. In addition, use of the content or
materials for any purpose not expressly permitted in this Agreement is prohibited.
Third-Party Content, whether contributed by anonymous users or paid
content providers is the sole responsibility of the party who provided the content.
IndexMundi.com is not responsible for the accuracy, propriety, lawfulness or truthfulness
of any Third Party Content, and shall not be liable to any User in connection with
such User's reliance of such Third Party Content. In addition, IndexMundi.com
is not responsible for the conduct of any User's activities on the Site, and
shall not be liable to any person in connection with any damage suffered by any
person as a result of such User's conduct.
Indexmundi.com may allow Users to access to content, products or services
offered by third parties through hyperlinks (in the form of word link, banners,
channels or otherwise) to such third parties' web sites. You are cautioned to
read such sites' terms and conditions and/or privacy policies before using such
sites in order to be aware of the terms and conditions of your use of such sites.
Indexmundi.com has no control over such third parties' web sites and their content.
Indexmundi.com will not be responsible or liable to anyone for such web sites, their
content, products or services.
Indexmundi.com will not be held accountable for messages or information
sent by a User through any through the Site’s paltform to addressees obtained
from the Site.
Indexmundi.com reserves to right to change, update its content, services
and tools without previous notice. The User acknowledges that inability to use the
Site wholly or partially for whatever reason may have adverse effects on its business.
Each User hereby agrees that in no event shall Indexmundi.com be liable to the User
or any third parties for any inability to use the Site (whether due to disruption,
limited access, changes to or termination of any features on the Site or otherwise),
any delays, inaccuracies, errors or omissions with respect to any communications
or transmission, or any damage (direct, indirect, consequential or otherwise) arising
from the use of or inability to use the Site or any of its features.
Registered Users
If the Registered User is a business entity, you represent that (a)
you have the authority to bind the entity to this Agreement; (b) the address you
use when registering is the principal place of business of such business entity;
and (c) all other information submitted to IndexMundi.com and its affiliates during
the registration process is true, accurate, current and complete. For purposes of
this provision, a branch or representative office will not be considered a separate
entity and its principal place of business will be deemed to be that of its head
office.
By becoming a Registered User, you acknowledge that the information
you submitted is accurate, current and complete and you grant your consent to the
inclusion of your personal data in our Company Directory Database and authorize
Indexmundi.com to share such information with other Users.
Inderxmundi.com reserves the right to limit, suspend or terminate the
use of a Registered User's Account without being liable to the Registered User
if the Registered User is in breach with any part of the present User Agreement.
Registered Users may not sell, attempt to sell, offer to sell, give,
assign or otherwise transfer his/her Account, User ID or Password to a third party
without the prior written consent of IndexMundi.com.
Indexmundi.com reserves the right to refuse registration and deny issuance
of an Account in the event a User does not comply with parts of the User Agreement.
Posting Information on the Site
You must be a Registered User in order to post information on the Site
using the self-help submit and edit tools (forms) provided through the Site.
Each User hereby represents, warrants and agrees that it shall be solely
responsible for ensuring that any material or information it posts on the Site or
provides to Indexmundi.com or authorizes Indexmundi.com to display does not, and
that the products represented thereby do not, violate any Third Party Rights, or
is posted with the permission of the owner(s) of such rights. Each User hereby represents,
warrants and agrees that it has the right to process, offer, sell, import, export
and distribute the products it offers and displays on the Site, and that such process,
offer, sale, import, export and/or distribution of those products violates no Third
Party Rights.
By posting content on the IndexMundi.com, you assume full responsibility
for the content of the listing. When you list a commodity on the Site, your listing
may not be immediately searchable by keyword or category.
Each User hereby represents, warrants and agrees that information submitted
to Indexmundi.com for display on the Site shall not:
contain fraudulent information or make fraudulent offers
of commodities or involve the sale or attempted sale of counterfeit or stolen products
whose sales and/or marketing is prohibited by applicable law, or otherwise promote
other illegal activities;
be part of a scheme
to defraud other Users of the Site or for any other unlawful purpose;
relate to sale of products or services that infringe or
otherwise abet or encourage the infringement or violation of any third party's
copyright, patent, trademarks, trade secret or other proprietary right or rights
of publicity or privacy, or any other Third Party Rights;
impersonate any person or entity, misrepresent yourself or your affiliation
with any person or entity;
violate any applicable
law, statute, ordinance or regulation (including without limitation those governing
export control, consumer protection, unfair competition, anti-discrimination or
false advertising);
be defamatory, libelous,
unlawfully threatening or unlawfully harassing;
be obscene or contain or infer any pornography or sex-related merchandising or any
other content or otherwise promotes sexually explicit materials or is otherwise
harmful to minors;
promote discrimination
based on sex, race, age, religion, nationality, disability, or sexual orientation;
post any material that constitutes unauthorized advertising
or harassment (including but not limited to spamming), invades anyone's privacy
or encourages conduct that would constitute a criminal offence, give rise to civil
liability, or otherwise violate any law or regulation;
solicit business from any Users in connection with a commercial activity
that competes with IndexMundi.com;
upload,
or point to (through external links) any computer viruses or other destructive devices
and codes that have the effect of damaging, interfering with, intercepting or expropriating
any software or hardware system, data or personal information;
violate any provision in the Product Listing
Policy;
otherwise
create any liability for IndexMundi.com
Indexmundi.com reserves the right to remove any content that violates
any of the points stated above. Indexmundi.com reserves the right to cooperate fully
with governmental authorities, private investigators and/or injured third parties
in the investigation of any suspected criminal or civil wrongdoing. Furthermore,
Indexmundi.com may disclose the User's identity and contact information, if
requested by a government or law enforcement body, an injured third party, or as
a result of a subpoena or other legal action. Indexmundi.com shall not be liable
for damages or results thereof and User agrees not to bring any action or claim
against it for such disclosure.
Transactions between Buyers and Suppliers
Indexmundi.com provides an electronic web-based platform for exchanging
information related to the sale and purchase of commodities to potential buyers
and suppliers. Indexmundi.com reserves the right to limit certain features
and functions of the platform to prescribed Registered Users. Indexmundi.com
does not represent the seller or the buyer in any specific transactions whether
and actual transaction occurs between a seller and a buyer. In the event a sale
or a purchase transaction occurs as a consequence of listings posted by either seller
or buyer on Indexmundi.com, such transaction will take place outside the Indexmundi.com
platform, being a transaction entered by buyer and seller through mutual agreement
of their own terms and conditions. Therefore, users acknowledge the risks involved
in the potential transaction and must be aware that people acting under false pretence
may be on the opposite side of the transaction. Risks shall include, but are not
limited to, misrepresentation of products and services, fraudulent schemes, unsatisfactory
quality, failure to meet specifications, defective or dangerous products, unlawful
products, delay or default in delivery or payment, cost miscalculations, breach
of warranty, breach of contract and transportation accidents.
Indexmundi.com does not control and is not liable to or responsible
for the quality, safety, lawfulness or availability of the products or services
offered for sale on the Site or the ability of the sellers to complete a sale or
the ability of buyers to complete a purchase. Therefore, Indexmundi.com shall not
be liable or responsible for any damages, liabilities, costs, harms, inconveniences,
business disruptions or expenditures of any kind that may arise as a result of the
transaction between a seller and a buyer.
Users are solely responsible for all of the terms and conditions of
the transactions conducted on, through or as a result of use of the Site, including,
without limitation, terms regarding payment, returns, warranties, shipping, insurance,
fees, taxes, title, licenses, fines, permits, handling, transportation and storage.
User agrees to provide all information and materials as may be reasonably
required by Indexmundi.com in connection with transactions that may take place through
the IndexMundi.com platform. IndexMundi.com has the right to suspend or terminate
any User’s Account if the User fails to provide the required information and
materials when requested.
In the event that any User has a dispute with any party to a transaction
for transaction outside of the IndexMundi.com platform, such dispute should be solved
directly between the parties involved, with no mediation by Indexmundi.com.
Privacy
IndexMundi.com does not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your
information only as described in the Privacy Policy. We store and process your information on
servers located in the United States that are protected by physical as well as by technological security devices. You can access and modify the information you provide
IndexMundi.com and choose not to receive certain communications by signing-in to your account.
Limitation of Liability
Features and services on the Site are provided on an "as is"
basis, therefore IndexMundi.com makes no representations or warranties about the
validity, accuracy, correctness, reliability, quality, stability, completeness or
currentness of any information provided on or through the site. The User acknowledges
the use of the Site and its content is at his own discretion and risk.
Any material downloaded or otherwise obtained through the site is done
at each user's sole discretion and risk and each user is solely responsible
for any damage to its computer system or loss of data that results from the download
of any such material. No advice or information, whether oral or written, obtained
by any User from the site or from an IndexMundi.com customer representative shall
be considered warranty of any kind.
Indexmundi.com does not represent or warranty the information provided
by any Third Party content providers (sellers and buyers included) nor does IndexMundi.com
make representations or warranties of any kind concerning products or services offered
or displayed on the site by any Third Party.
Under no circumstances shall IndexMundi.com be held liable for any
delay, failure or disruption of content or services delivered through the Site resulting
directly or indirectly from acts of nature, forces or causes beyond its reasonable
control, including without limitation, Internet failures, computer, telecommunications
or any other equipment failures, electrical power failures, strikes, labor disputes,
riots, insurrections, civil disturbances, shortages of labor or materials, fires,
flood, storms, explosions, acts of God, war, governmental actions, orders of domestic
or foreign courts or tribunals or non-performance of Third Parties.
Under no circumstances shall IndexMundi.com be liable for financial
losses (loss of profits or savings), business interruption, or loss of information
incurred by Users (sellers or buyers) as a consequence of User’s use of the
site, its content or content provided by Third-Party providers. Each User hereby
agrees to indemnify and save IndexMundi.com, its affiliates, directors, officers
and employees harmless, from any and all losses, claims, liabilities (including
legal costs on a full indemnity basis) which may arise from such User's use
of the Site (including but not limited to the display of such User's information
on the Site) or from its breach of any of the terms and conditions of this Agreement.
Each User hereby further agrees to indemnify and save Indexmundi.com, its affiliates,
directors, officers and employees harmless, from any and all losses, claims, liabilities
(including legal costs on a full indemnity basis) which may arise from User's
breach of any representations and warranties made by User to IndexMundi.com, Each
User hereby further agrees to indemnify and save IndexMundi.com, its affiliates,
directors, officers and employees harmless, from any and all losses, claims, liabilities
(including legal costs on a full indemnity basis) which may arise, directly or indirectly,
as a result of any claims asserted by Third Party rights claimants or other third
parties relating to products offered or displayed on the Site.
Each User hereby further agrees that Indexmundi.com is not responsible
and shall have no liability to it, for any material posted by others, including
defamatory, offensive or illicit material and that the risk of damages from such
material rests entirely with each User. Indexmundi.com reserves the right, at its
own expense, to assume the exclusive defense and control of any matter otherwise
subject to indemnification by you, in which event you shall cooperate with Indexmundi.com
in asserting any available defenses.
Indemnity
You will indemnify and hold Indexmundi.com (officers, directors, agents,
subsidiaries, joint ventures and employees) harmless from any claim or demand, including
reasonable attorneys' fees, made by any third party due to or arising out of
your breach of this Agreement, or your violation of any law or the rights of a third
party.
Intellectual Property Rights
Indexmundi.com is the sole owner or lawful licensee of all the rights
to the Site and its content. All title ownership and intellectual property rights
in the Site and its content shall remain with Indexmundi.com.
IndexMundi, Indexmundi.com, its related icons and logos are registered
trademarks of Indexmundi.com and its parent company AtLogic LLC., and are protected
under applicable copyright, trademark and other proprietary rights laws. The unauthorized
copying, modification, use or publication of these marks is strictly prohibited.
Notices
Except as explicitly stated otherwise, all legal notices to IndexMundi.com
shall be produced in writing and sent to IndexMundi, 5220 Chinley Ct., Charlotte,
NC 28226, USA.
All notices to a User shall be produced in writing and delivered by
mail, fax or email to the addresses you provide to IndexMundi.com during the registration
process (in your case). Notice shall be deemed sent after 24 hours, unless the sending
party is notified that the email address is invalid.
General
This User Agreement and the Privacy Policy constitute the entire agreement
between the User and Indexmundi.com with respect to the use of the Site, superseding
any prior written or oral agreements in relation to the same subject matter herein.
Indexmundi.com and the User are independent entities, and no agency,
partnership, joint venture, employee-employer or franchiser-franchisee relationship
is intended or created by this Agreement.
If any provision of this Agreement is held to be invalid or unenforceable,
such provision shall be struck and the remaining provisions shall be enforced.
IndexMundi.com's failure to enforce any right or failure to act
with respect to any breach by the User under this Agreement will not waive that
right to IndexMundi to act as it deem necessary with respect to similar or subsequent
breaches.
IndexMundi.com shall have the right to assign this Agreement (including
all of its rights, titles, benefits, interests, and obligations and duties in this
Agreement) to any person or entity (including any affiliates of IndexMundi.com).
The User may not assign, in whole or part, this Agreement to any person or entity.
IndexMundi.com reserves the right to amend this Agreement at any time,
without prior notice, by posting the amended terms on the Site. Except as stated
elsewhere, all amended terms shall be effective immediately upon being posted on
the site. Additionally, we will notify you by email about any amendment made to
this Agreement. This Agreement may not be otherwise amended except by an IndexMundi.com
authorized official.
This Agreement shall be governed by the laws of the state of North
Carolina, United States of America, without regard to its conflict of law provisions.
The parties to this Agreement hereby submit to the exclusive jurisdiction of the
courts of North Carolina.
